Terms and Conditions

Acceptance of terms

By accessing or using ShipmentSync, each customer and authorized user agrees to these Terms and Conditions and to all policies referenced by them. If you use ShipmentSync on behalf of a company, you represent that you have authority to bind that company.

Description of service

ShipmentSync is a dispatch and shipment coordination platform intended to help transportation teams manage shipments, clients, drivers, carrier information, documents, and operational records.

Account registration

Customers are responsible for providing accurate registration and onboarding information and for keeping authorized user credentials secure.

Client responsibilities

Customers are responsible for lawful use of ShipmentSync, accuracy of submitted records, user management, and ensuring that their use complies with applicable transportation, privacy, employment, and commercial laws.

Acceptable use

Use of ShipmentSync must comply with the Acceptable Use Policy. Customers must not misuse the service, attempt unauthorized access, upload malicious content, or process personal information unlawfully.

Subscription and payment terms

Subscription fees, billing frequency, taxes, renewal terms, cancellation rights, and payment processing requirements are confirmed in the applicable order form, invoice, or written agreement between ShipmentSync and the customer.

Data and content ownership

Customers retain ownership of the business records and content they submit to ShipmentSync. ShipmentSync may process customer content to provide, maintain, secure, support, and improve the service and to meet applicable legal obligations.

Service availability disclaimer

ShipmentSync uses commercially reasonable efforts to provide reliable service. The service may be unavailable during maintenance, upgrades, outages, third-party provider interruptions, security events, or circumstances outside ShipmentSync’s reasonable control.

Limitation of liability

To the maximum extent permitted by applicable law, ShipmentSync is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, loss of goodwill, or loss of data. ShipmentSync’s aggregate liability is limited to the amounts paid by the customer for the service during the twelve months before the claim.

Termination

ShipmentSync may suspend or terminate access for non-payment, security risk, policy violations, unlawful use, or material breach. Customers may stop using the service subject to any active order, payment, data retention, or cancellation terms that apply to their account.

Changes to terms

ShipmentSync may update these Terms from time to time. Material updates will be posted on the website or communicated through appropriate account or business channels. Continued use of the service after an update becomes effective means the updated Terms apply.
